Additional Terms for Auctions
These Terms govern the use of the specific charity Auctions functionality as part of GiveWheel.
These Additional Terms apply to Auction Hosts who create, manage, or promote Auctions on GiveWheel.
Policy Sections
Introduction
These terms ("Additional Terms") apply to any individual, Company, Beneficiary Organisation, or other entity that creates, manages, or promotes a charity Auction, or otherwise offers items or experiences for bid, through the Platform ("Auction Host", "you" or "your").
These Additional Terms supplement, and form part of, GiveWheel's main Terms of Service (the "Terms"). In the event of conflict, these Additional Terms take precedence for Auctions functionality.
Nothing in these Additional Terms creates a partnership, joint venture, agency, fiduciary relationship or employment relationship between GiveWheel and an Auction Host.
Winning Bid means the highest valid bid at close of an Auction under the Auction Rules. If a reserve or minimum threshold is not met, there may be no Winning Bid or Winning Bidder.
Winning Bidder means the participant who submits the Winning Bid for an item or experience in an Auction.
Auction Rules means the rules, terms, conditions, closing time, reserve requirements and other conditions specified by the Auction Host.
Capitalised terms used but not defined in these Additional Terms have the meaning given to them in the Terms.
1. About Auctions
1.1. GiveWheel provides technology enabling Auction Hosts to create Auctions, collect bids, collect payments, and manage Winning Bids through the Platform.
1.2. GiveWheel is not the Auction Host of any Auction unless expressly stated.
1.3. GiveWheel provides the auctioning platform only. GiveWheel is not responsible for:
- sourcing;
- owning;
- storing;
- inspecting;
- organising;
- selling;
- delivering; or
- fulfilling any item or experience offered through an Auction.
1.4. GiveWheel does not inspect, verify, warrant, or guarantee quality, condition, authenticity, legality, safety, suitability, functionality, availability, or delivery of any item or experience.
2. Auction Host responsibilities
2.1. By creating an Auction, the Auction Host confirms that:
- they have the legal right and authority to offer each listed item or experience;
- where applicable, they own the item or are authorised by its owner to sell it;
- the item or experience is not subject to restrictions preventing sale or fulfilment;
- descriptions and representations are accurate and not misleading;
- photographs and media fairly represent the item or experience;
- the item or experience can lawfully be offered, sold, and fulfilled in each relevant jurisdiction; and
- they will comply with all applicable laws and regulatory requirements.
2.2. You remain solely responsible for organising and delivering the Auction.
2.3. The Auction Host is solely responsible for storage, safekeeping and insurance of items listed in an Auction, before and after the Auction.
2.4. GiveWheel does not take physical possession of any Auction item listed on the Platform.
3. Auction items
3.1. Where an Auction involves an experience, the Auction Host is solely responsible for accurate description and ability to provide the experience per description and Auction Rules.
3.2. The Auction Host must clearly state material conditions or restrictions, including where applicable:
- date or usage period;
- location;
- availability and booking requirements;
- expiry dates;
- age or eligibility requirements;
- participant number restrictions;
- travel, accommodation, transport or other non-included costs;
- requirements the Winning Bidder must satisfy; and
- cancellation or rescheduling conditions.
3.3. The Auction Host is responsible for arrangements needed to provide the experience, including venues, suppliers, tickets, permissions, licences, insurance, and related arrangements.
3.4. The Auction Host must ensure experiences comply with all applicable laws and that Winning Bidders are not required to pay undisclosed additional amounts except where required by law.
3.5. The following must not be listed in an Auction:
- unlawful goods;
- counterfeit goods;
- stolen property;
- dangerous goods;
- restricted or prohibited items; or
- any item GiveWheel reasonably considers inappropriate.
4. Bidding
4.1. By placing a bid you confirm that:
- you intend to purchase if successful;
- information you provide is accurate; and
- you are legally capable of entering a binding contract.
4.2. The Auction Host is solely responsible for determining whether and when bids may be withdrawn, subject to law.
4.3. GiveWheel does not manage bid withdrawals. Requests must be directed to the Auction Host in accordance with Auction Rules.
4.4. Auction Hosts must not manipulate bidding outcomes (including using fictitious bidders or related parties). GiveWheel may invalidate bids or cancel auctions where manipulation is suspected.
5. Winning Bids
5.1. Winning Bidders must complete payment within 48 hours of being notified that they have submitted the Winning Bid, using payment methods provided through GiveWheel.
5.2. If payment is not made in time, the Auction Host may offer the item to another bidder, relist it, or take another action allowed by Auction Rules.
5.3. If payment is reversed, charged back, refunded or otherwise not received, payment obligation remains unless GiveWheel or Auction Host expressly agrees otherwise.
5.4. The Auction Host is solely responsible for transfer of ownership to the Winning Bidder once payment is received.
5.5. GiveWheel's Auction functionality is a technology tool and is not guaranteed to be available, uninterrupted, error-free, or suitable for every Auction.
5.6. Auction Hosts are responsible for configuring Auction settings (including closing time and reserve/minimum rules) before the Auction begins.
5.7. GiveWheel does not independently verify bidder validity, eligibility, authority, legal capacity, or that every attempted bid will be recorded or included as intended.
5.8. To the extent permitted by law and subject to the Terms, GiveWheel is not responsible for loss arising from error, malfunction, delay, defect, or failure affecting Auction recording, processing, display, or outcome.
6. Delivery and fulfilment
6.1. The Auction Host is responsible for:
- packaging;
- shipping;
- insurance;
- collection arrangements;
- resolving delivery issues; and
- applicable VAT, duties, customs requirements, and other taxes or charges, except where Auction Rules expressly state otherwise.
6.2. GiveWheel has no responsibility for delivery, fulfilment, or condition of any item. Related issues must be resolved directly between Auction Host and Winning Bidder.
7. Disputes
7.1. Any dispute about condition, quality, authenticity, description, suitability, functionality, availability, delivery, or fulfilment of an item/experience must be resolved directly between Auction Host and Winning Bidder.
7.2. Unless expressly stated otherwise, the sale/provision contract is between Auction Host and Winning Bidder. GiveWheel accepts no liability for dispute outcomes.
7.3. GiveWheel may assist communication at its sole discretion but is under no obligation to investigate or determine outcomes.
8. Cancellation and withdrawal
8.1. Auction Hosts must specify in Auction Rules whether and when an Auction or listed item may be cancelled/withdrawn before close.
8.2. Auction Hosts must not cancel or withdraw in breach of law, Auction Rules, or binding obligations to a Winning Bidder.
8.3. Where an Auction is cancelled or item withdrawn, the Auction Host is responsible for notifying affected bidders and managing refunds/obligations.
8.4. GiveWheel may suspend or cancel an Auction where reasonably necessary to protect users, comply with law, address suspected fraud/manipulation, or enforce these Additional Terms.
9. Refunds
9.1. Auction refunds are handled in accordance with Auction Rules, law, and these Additional Terms.
9.2. Auction Hosts are responsible for determining whether a refund is due, except where GiveWheel reasonably considers refund is legally required or appropriate due to unfair conduct.
9.3. Where funds remain held by GiveWheel, GiveWheel may process refunds on behalf of Auction Host in relevant circumstances.
9.4. Where funds have already been paid to the Beneficiary Organisation, Auction Host is responsible for arranging any due refund.
9.5. GiveWheel has no obligation to provide refund/replacement/compensation solely because a Winning Bidder is dissatisfied, in accordance with Clause 1.3.
9.6. Nothing in these Additional Terms limits or excludes refund/remedy rights a Winning Bidder may have under law.
10. Suspension
10.1. We may remove listed items, suspend an Auction, or take other reasonably necessary actions without prior notice where we believe these Additional Terms were breached or action is needed to protect users or comply with legal obligations.
Governing Law
GiveWheel's Terms and Policies are governed by the laws of England and Wales.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable consumer protection laws provide otherwise.
These Terms constitute the entire agreement relating to your use of the Platform.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A delay or failure by either party to enforce any provision of these Terms does not waive the right to enforce it later.
