Additional Terms for Ticketed Events
These Terms govern the use of the specific Ticketed Events functionality as part of GiveWheel.
These Additional Terms apply to Event Organisers who create, manage, or promote Ticketed Events on GiveWheel.
Policy Sections
Introduction
These terms ("Additional Terms") apply to any individual, Company, Beneficiary Organisation, or other entity that creates, manages, or promotes a Ticketed Event, or otherwise sells Tickets, through the Platform ("Event Organiser", "you" or "your").
These Additional Terms supplement, and form part of, GiveWheel's main Terms of Service (the "Terms"). In the event of any conflict between the Terms and these Additional Terms, these Additional Terms take precedence for Ticketed Events functionality.
Nothing in these Additional Terms creates a partnership, joint venture, agency, fiduciary relationship or employment relationship between GiveWheel and an Event Organiser. Unless expressly agreed otherwise in writing, the Event Organiser has no authority to act as agent for or bind GiveWheel.
Capitalised terms used but not defined in these Additional Terms have the meaning given to them in the Terms.
1. About Ticketed Events
1.1. GiveWheel provides technology that enables Event Organisers to create events, sell Tickets, collect payments, and manage attendees through the Platform.
1.2. GiveWheel is not the Event Organiser of any Ticketed Event unless expressly stated.
1.3. GiveWheel provides ticketing and payment technology only. GiveWheel is not responsible for organising or delivering the event, venue management, attendee safety, event quality, cancellations, or the fulfilment of the Event Organiser's obligations to attendees, except where expressly stated or required by law.
1.4. Unless expressly stated otherwise, the purchase of a Ticket creates a contract between the attendee and the Event Organiser. GiveWheel may facilitate payment and administration services but does not become the organiser, promoter, or supplier of the Ticketed Event.
1.5. Where GiveWheel processes or receives Ticket payments on behalf of an Event Organiser, GiveWheel may deduct or retain any applicable fees, refunds, chargebacks, amounts owed to GiveWheel, or other amounts permitted under these Additional Terms or the Terms before transferring remaining funds.
2. Event Organiser responsibilities
2.1. By creating a Ticketed Event you confirm that:
- you have authority to organise the event;
- all information provided is accurate;
- you have obtained any licences, permissions or insurance required; and
- the event complies with applicable laws and regulations.
2.2. You remain solely responsible for organising and delivering the event.
2.3. The Event Organiser is solely responsible for:
- venue accessibility;
- making reasonable adjustments where required;
- ensuring compliance with any applicable age restrictions;
- safeguarding, where relevant to the event;
- managing capacity limits;
- compliance with alcohol licensing and other licensing requirements;
- emergency procedures at the venue; and
- venue health and safety.
2.4. GiveWheel has no responsibility for venue accessibility, attendee safety, or compliance with the matters in Clause 2.3, and provides the ticketing platform only, in accordance with Clause 1.3.
2.5. By creating a Ticketed Event, the Event Organiser warrants that the following information, where provided, is accurate and not misleading:
- event descriptions;
- photographs and videos;
- any trademarks, logos, or branding used;
- Ticket prices and any associated fees;
- any claims made about beneficiaries or Beneficiary Organisations connected to the event;
- age restrictions;
- accessibility information; and
- venue information.
3. Ticket sales
3.1. Event Organisers determine factors relating to their Ticketed Events, including:
- Ticket prices;
- Ticket availability;
- sales periods;
- attendee limits; and
- event information.
3.2. All Ticket purchases are subject to the Event Organiser's published terms.
3.3. Unless required by law or otherwise determined by the Event Organiser, Ticket purchases are non-refundable. Refunds may be offered or processed at the discretion of the Event Organiser, subject to these Additional Terms.
4. Event changes
4.1. Where an event is cancelled, postponed, changes venue, or has another significant change, the Event Organiser must:
- notify GiveWheel immediately;
- notify attendees promptly;
- state clearly the nature of the change;
- state the refund arrangements that apply, where relevant;
- provide GiveWheel with information necessary to process refunds GiveWheel facilitates under Clause 4.2; and
- remain responsible for providing any refund required by law.
4.2. Where an Event Organiser decides to provide refunds, or where GiveWheel reasonably considers a refund is required to comply with law or appropriate because the Event Organiser has acted unfairly, GiveWheel may process refunds where relevant funds remain held by GiveWheel. The Event Organiser remains responsible for the underlying refund obligation.
4.3. GiveWheel may withhold funds relating to a Ticketed Event until the end of the event, including to facilitate refunds that may become necessary following cancellation.
4.4. Where a refund is requested or required after the event has taken place, or where the relevant funds have already been paid to the Beneficiary Organisation, the Event Organiser is responsible for arranging and processing the refund.
4.5. Nothing in these Additional Terms limits or excludes any right to a refund or other remedy that an attendee may have under applicable law.
5. Entry
5.1. Tickets may be issued in one of the following formats, as determined by the Event Organiser:
eTicket - an electronic ticket containing a unique QR code, scannable by a dedicated scanner or any smartphone/device capable of reading QR codes.
Email Confirmation Only - the attendee's registration is confirmed by email, and no formal Ticket is issued. Entry is managed by the Event Organiser using attendee details provided at booking.
5.2. Attendees may be required to present a valid Ticket, QR code, or email confirmation (as applicable). Organisers may refuse entry where reasonably necessary and permitted by law, including where:
- the Ticket, QR code, or confirmation is invalid;
- attendance conditions have not been met;
- entry would breach applicable law; or
- attendance could compromise safety or security.
5.3. GiveWheel is not responsible for managing entry, admission, or check-in at any Ticketed Event.
5.4. GiveWheel provides the Event Organiser with a list of attendees, in line with our privacy policy, which may be used as a fallback for entry verification.
6. Indemnity
6.1. To the extent permitted by law, the Event Organiser is responsible for, and will indemnify GiveWheel against, claims, losses, liabilities, costs, and expenses arising from event organisation, promotion, or delivery, including:
- failure to obtain or maintain required licences, permissions, or insurance;
- breach of venue rules or requirements;
- injury or harm to any person;
- cancellation or postponement of the event;
- infringement of copyright or other intellectual property rights;
- misleading or inaccurate claims, including breach of warranties in Clause 2.5;
- breach of health and safety requirements;
- unlawful discrimination; and
- failure to provide a refund required by law,
in each case arising from a breach of these Additional Terms, applicable law, or the rights of attendees or third parties.
6.2. This section does not require the Event Organiser to compensate GiveWheel to the extent that the relevant loss was caused by GiveWheel's own breach, negligence, or unlawful conduct.
7. Suspension
7.1. We may suspend Ticket sales or remove a Ticketed Event from the Platform where we reasonably believe these Additional Terms have been breached or where necessary to protect users or comply with legal obligations, including where GiveWheel reasonably believes:
- the event is unlawful;
- the organiser is fraudulent;
- information is misleading;
- the event presents a safety risk;
- payment fraud is occurring;
- the organiser has not provided required information;
- continuing the event could expose GiveWheel to legal or regulatory risk; or
- the organiser breaches the main Terms.
Governing Law
GiveWheel's Terms and Policies are governed by the laws of England and Wales.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable consumer protection laws provide otherwise.
These Terms constitute the entire agreement relating to your use of the Platform.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A delay or failure by either party to enforce any provision of these Terms does not waive the right to enforce it later.
