Terms of Service
These Terms govern the use of GiveWheel by Donors, Fundraisers, event attendees, entrants, bidders and other users. Registered charities and other recipient Beneficiary Organisations are also subject to our separate Beneficiary Terms. Registered companies and other eligible entities, whether or not formally incorporated, are also subject to our separate Company Terms.
Introduction
Welcome to GiveWheel.
GiveWheel provides online fundraising and related services for Donors, Fundraisers and eligible charities and other not-for-profit Beneficiary Organisations.
These Terms of Service ("Terms") govern your use of GiveWheel, including our website, applications, fundraising tools, ticketing services, competitions, auctions and any other products or services we provide (collectively, the "GiveWheel Services" or "Platform").
These Terms apply to each user or viewer of the GiveWheel Platform ("you" or "your").
By creating an Account, making a Donation, creating or participating in a fundraising campaign, purchasing a Ticket or otherwise using the Platform, you agree to be bound by these Terms. Your use of the Platform constitutes your agreement to these Terms.
These Terms form a legally binding agreement between you and GiveWheel Limited (company number 13310863), whose registered office is at 85 Great Portland Street, First Floor, London, England, W1W 7LT ("GiveWheel", "we", "our", or "us").

1. Definitions
In these Terms:
Account means the GiveWheel account created by a person or organisation to access the GiveWheel Services.
Auction means a process facilitated through the Platform in which items or experiences are made available for participants to bid on.
Auction Host means any individual, Company, Beneficiary Organisation, or other entity that creates, manages, or promotes an Auction, or otherwise offers items or experiences for bid, through the Platform.
Beneficiary Organisation means an organisation, entity, group or other body approved by GiveWheel to receive or benefit from Donations through the Platform, including (where applicable) a registered charity, community interest company (CIC), community amateur sports club (CASC), corporate foundation, non-profit organisation, social enterprise or other organisation or entity established or operating for a charitable, community, social, sporting or other purpose approved by GiveWheel.
Beneficiary Organisation Admin means an individual who holds an Account and has been granted administrative access to a Beneficiary Organisation Dashboard, whether by registering the Beneficiary Organisation and creating its Beneficiary Organisation Dashboard, or by being added as an admin by an existing Beneficiary Organisation Admin or GiveWheel.
Beneficiary Organisation Dashboard means the area of the Platform associated with a Beneficiary Organisation, providing tools to manage and showcase the Beneficiary Organisation's fundraising activity, including reporting, branding, and related features made available by GiveWheel from time to time.
Charitable Amount means the amount of a Donation that GiveWheel is committed to apply for the benefit of the selected Beneficiary Organisation or charitable purpose, as shown or calculated before the Donation is confirmed, excluding any payment-processing charge, platform fee, optional supporter contribution, Ticket price, purchase amount or other amount separately disclosed before payment.
Company means any company, partnership, public body, association, employer, business or other entity, whether or not formally incorporated, that has a Company Dashboard on the Platform, accessed and administered on its behalf by one or more Company Admins.
Company Admin means an individual who holds an Account and has been granted administrative access to a Company's Company Dashboard, whether by registering the Company and creating its Company Dashboard, or by being added as an admin by an existing Company Admin or GiveWheel.
Company Dashboard means the area of the Platform made available to a Company, providing tools to manage and showcase the Company's fundraising activity, including reporting, branding, and related features made available by GiveWheel from time to time.
Competition means a Prize Competition or a Free Draw, and "Competitions" shall be construed accordingly.
Competition Host means any individual, Company, Beneficiary Organisation, or other entity, whether or not formally incorporated, that creates, manages, or promotes a Competition, or otherwise offers entries to a Competition, through the Platform.
Donation means a payment, or the charitable element of a payment, made to GiveWheel with an instruction that GiveWheel apply a corresponding amount for the benefit of one or more selected Beneficiary Organisations or charitable purposes.
Donor means a person or organisation making a Donation.
Event Organiser means any individual, Company, Beneficiary Organisation, or other entity, whether or not formally incorporated, that creates, manages, or promotes a Ticketed Event, or otherwise sells Tickets, through the Platform.
Free Draw means a draw or promotion facilitated through the Platform in which participants may win a Prize, and which satisfies the requirements applicable to free draws under applicable law, including any requirements relating to free entry routes.
Fundraiser means a person or organisation creating or managing fundraising activity using the GiveWheel Services.
Payment Provider means Stripe, Charities Trust or any other third party used to process or distribute Donations or payments.
Payout means an onward payment made by GiveWheel to a Beneficiary Organisation, whether directly or through a disbursement partner, in accordance with these Terms.
Prize means any item, experience, sum of money, voucher, or other benefit offered as part of a Competition to be won by a participant.
Prize Competition means a competition, contest, or promotion facilitated through the Platform in which the outcome depends on the exercise of skill, knowledge, or judgement, in accordance with applicable law, and in which participants may win a Prize.
Ticket means the entry, pass, or authorisation purchased or obtained through the Platform (whether for a fixed price or free of charge) that permits the holder to participate in or attend a Ticketed Event.
Ticketed Event means any event for which participation or attendance requires a Ticket obtained via the Platform, regardless of whether attendees are also given the option to make an additional Donation on top of, or independently of, any Ticket price.
2. About GiveWheel
2.1. GiveWheel is a technology platform that enables charities, individuals, organisations and businesses to raise funds for charitable causes.
2.2. Depending on the campaign, GiveWheel may facilitate:
- charitable fundraising;
- multi-charity fundraising;
- donor-directed giving (including DonorLed campaigns);
- fundraising teams;
- corporate fundraising;
- Ticketed Events;
- Prize Competitions;
- Auctions;
- charitable events; and
- other fundraising products and services.
2.3. Unless expressly stated otherwise, GiveWheel is not the organiser of the fundraising activity, promoter of a Prize Competition or Free Draw, seller of an Auction item or organiser of a Ticketed Event. GiveWheel provides the technology and related administrative services through which those activities are facilitated.
3. Eligibility
3.1. You must be at least 16 years old to create an Account.
3.2. A person under 16 may participate in fundraising or use age-appropriate parts of the Platform only with the involvement and permission of a parent or legal guardian and where the relevant activity permits their participation.
3.3. Additional age restrictions may apply to specific functionality and will be set out in the relevant Additional Terms.
4. Your Account
4.1. Some features require you to create an Account.
4.2. You agree to:
- provide accurate and up-to-date information;
- keep your login details secure;
- keep your contact details updated;
- notify us promptly if you believe your Account has been compromised; and
- accept responsibility for activity carried out using your Account.
4.3. You must not permit any unauthorised person to use your Account or share login credentials in a way that compromises Account security. Where the Platform supports multiple authorised users, each person should use their own access credentials.
4.4. We may suspend or close Accounts where we reasonably believe they have been compromised or are being used in breach of these Terms.
4.5. Your Account will remain active until it is closed by either you or GiveWheel in accordance with these Terms.
4.6. GiveWheel is not responsible for any unauthorised use of your Account resulting from your failure to keep your login credentials secure.
4.7. Verification
4.7.1. We may carry out identity, compliance, anti-fraud or other verification checks before approving an Account or processing payments.
4.7.2. We may request additional information at any time.
4.7.3. We reserve the right to decline or remove any Account where we reasonably believe eligibility requirements are not met or where continuing to provide our services would present legal, regulatory or reputational risk.
4.8. Communications
4.8.1. You agree that we may contact you electronically regarding your Account.
4.8.2. You are responsible for ensuring your contact details remain accurate and up to date.
4.9. Closing your Account
4.9.1. You may close your Account at any time by contacting us, or through our website enquiry form.
4.9.2. Closing an Account does not prevent GiveWheel from completing the processing or disbursement of Donations already made through the Platform.
4.10. Suspension and Termination
4.10.1. We may suspend, close or prevent repeat registration of your Account if:
- you breach these Terms;
- we reasonably suspect fraud or unlawful activity;
- we are required to do so by law; or
- we reasonably believe continued access presents unacceptable legal, regulatory or reputational risk.
4.10.2. We may suspend your ability to access GiveWheel Services while investigations are ongoing.
4.10.3. Termination does not affect any rights or obligations that arose before termination.
4.10.4. Where reasonably possible, we will notify you before suspending or terminating an Account.
5. Using GiveWheel
5.1. We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform in accordance with these Terms.
5.2. You may use the Platform to:
- create fundraising pages;
- make Donations;
- support one or more Beneficiary Organisations;
- create fundraising teams;
- participate in fundraising campaigns;
- purchase Tickets where available;
- participate in Prize Competitions, free draws, or Auctions where available; and
- use any other features we make available.
5.3. You must use the Platform responsibly and in accordance with these Terms.
6. Fundraising Pages
6.1. Fundraisers are responsible for ensuring that information published on their fundraising pages is accurate, truthful and not misleading and that the content you provide does not breach any intellectual property rights of a third party.
6.2. By creating a fundraising page you confirm that:
- the fundraising activity complies with applicable laws;
- any information you provide to the public is accurate and not misleading;
- you will only raise or collect funds for purposes and Beneficiary Organisations permitted by GiveWheel and clearly identified on the relevant page.
6.3. We reserve the right to edit, suspend, or remove fundraising pages, without notice, where reasonably necessary to:
- protect Donors or Beneficiary Organisations;
- investigate suspected fraud;
- comply with legal obligations;
- maintain the integrity of the Platform;
- comply with applicable intellectual property and copyright regulations.
6.4. Creating a fundraising page for a Beneficiary Organisation does not mean that GiveWheel or the Beneficiary Organisation endorses the Fundraiser, the activity or any statements made on the page. You are responsible for checking that the intended Beneficiary Organisation does not object to the nature of your fundraising activity. We may suspend or close a page where the Beneficiary Organisation reasonably objects to the activity, including because it is inappropriate, unsafe, misleading or potentially damaging to the Beneficiary Organisation's reputation.
6.5. Sometimes, GiveWheel acts as a fundraising partner for an event or campaign organised by a third party. Unless specified, we are not responsible for the planning, delivery, and operation of any such event or campaign.
6.6. If an event or campaign, to which a fundraising page is linked, is cancelled, postponed, or changed, the GiveWheel fundraising page will remain open and eligible to receive Donations unless the owner of the page chooses to close it.
7. Donations
7.1. GiveWheel operates the Platform and acts as the merchant of record for Donations and other payments made through the Platform where stated. The receipt, administration, allocation, refund and onward application of Donations are governed by our Donations, Receipt and Disbursement Policy, which forms part of these Terms and is incorporated into them by reference.
7.2. By making a Donation, you authorise GiveWheel and the relevant Payment Providers to process the payment.
7.3. A Donation may comprise a charitable element and, where disclosed before payment, payment-processing charges, platform fees, optional supporter contributions or other amounts.
7.4. Where you select one or more Beneficiary Organisations or charitable purposes, you instruct GiveWheel to apply the relevant Charitable Amount for the benefit of the selected Beneficiary Organisation or charitable purpose in accordance with the Donations, Receipt and Disbursement Policy.
7.5. Where a fundraising page supports more than one Beneficiary Organisation, the Charitable Amount will be allocated in accordance with the allocation settings displayed on the relevant fundraising page, a selection made by you, or another allocation method explained before the Donation is confirmed.
7.6. Some campaigns may allow Donors to select which participating Beneficiary Organisation is to benefit from a Donation through GiveWheel's DonorLed functionality.
7.7. GiveWheel may delay, withhold, refund, redirect or otherwise deal with a Donation where reasonably necessary for verification, fraud prevention, payment processing, sanctions screening, legal or regulatory compliance, safeguarding, dispute resolution or the proper administration of the Platform, in accordance with the Donations, Receipt and Disbursement Policy.
7.8. Refunds are subject to the circumstances and procedures set out in the Donations, Receipt and Disbursement Policy.
7.9. The Donations, Receipt and Disbursement Policy sets out how GiveWheel receives and controls Donations, its commitment to apply the relevant Charitable Amount for selected charitable purposes, the circumstances in which Beneficiary Organisations become eligible for Payouts, and the circumstances in which amounts may be refunded, redirected or applied through another eligible charitable-distribution route.
8. Payments
8.1. Payments made through GiveWheel are processed using third-party Payment Providers.
8.2. GiveWheel does not store full payment card details.
8.3. Payment processing is subject to the terms and conditions of the relevant Payment Provider.
8.4. GiveWheel is not responsible for interruptions or delays caused by banks, card issuers or Payment Providers outside our reasonable control.
8.5. Card payments are processed by third-party Payment Providers and processing fees charged by the relevant Payment Provider will apply.
8.6. Additional fees may apply depending on the disbursement route used to Payout to the relevant Beneficiary Organisation.

9. Gift Aid
9.1. Where eligible, GiveWheel may collect Gift Aid declarations on behalf of participating Beneficiary Organisations.
9.2. It is your responsibility to ensure any Gift Aid declaration you make is truthful and accurate.
9.3. Claims for Gift Aid are made by or on behalf of the relevant Beneficiary Organisation and remain subject to HM Revenue & Customs rules.
9.4. GiveWheel does not guarantee that any Donation will qualify for Gift Aid.
10. Ticketed Events, Prize Competitions and Auctions
10.1. Certain services offered through GiveWheel are subject to additional terms.
10.2. These include:
- Ticketed Events;
- Prize Competitions and Free Draws;
- Auctions; and
- other regulated fundraising activities.
10.3. Where additional terms apply, they form part of these Terms.
10.4. In the event of any conflict, the specific terms governing that service will take precedence.
11. Intellectual Property
11.1. You retain ownership of any photographs, videos, text, logos or other content you upload to GiveWheel.
11.2. By uploading content, you grant GiveWheel a worldwide, royalty-free and non-exclusive licence to use, modify, reproduce, publish, broadcast, display, and distribute the content in any format, using any medium, for the purpose of:
- operating the Platform;
- displaying your fundraising pages;
- promoting fundraising campaigns;
- improving our services;
- complying with legal obligations; and
- promoting GiveWheel.
11.3. You confirm that:
- you own the content or have the necessary right and/or licence to use it;
- it does not infringe another person's intellectual property rights; and
- it complies with these Terms.
11.4. GiveWheel reserves the right to remove content, without notice, that we reasonably believe breaches these Terms or applicable law.
11.5. GiveWheel's Intellectual Property
11.5.1. The GiveWheel Services, including its software, branding, logos, graphics, designs and content (excluding user-generated content), is owned by or licensed to GiveWheel and is protected by applicable intellectual property laws.
11.5.2. Nothing in these Terms transfers ownership of our intellectual property to you.
11.5.3. You may not reproduce, modify, distribute or commercially exploit any part of the Platform except with our prior written permission.
12. Acceptable Use
12.1. You must use the GiveWheel Services lawfully, honestly, responsibly, and in accordance with our Acceptable Use Policy.
12.2. Our Acceptable Use Policy sets out the rules and restrictions that apply to your use of the Platform, including rules relating to prohibited activities, content, fraud, misuse of the Platform, platform security, automated access, and communications.
12.3. The Acceptable Use Policy forms part of these Terms and is incorporated into them by reference. You agree to comply with the Acceptable Use Policy at all times when using the GiveWheel Services.
12.4. Where we reasonably believe that you have breached these Terms or the Acceptable Use Policy, we may take action in accordance with these Terms, including removing content, suspending or terminating Accounts, suspending fundraising pages, cancelling campaigns, delaying or withholding payments where reasonably necessary, or reporting suspected unlawful activity to relevant authorities.
12.5. Where reasonably practicable, we will explain the reasons for any action taken.
13. Third-party Services
13.1. GiveWheel integrates with, and relies upon, third-party providers including Payment Providers, mapping providers, analytics services, and cloud infrastructure providers.
13.2. Your use of certain services may also be subject to the terms of those providers.
13.3. GiveWheel is not responsible for the operation or availability of third-party services outside our reasonable control.
14. Availability of the Platform
14.1. We use commercially reasonable efforts to keep GiveWheel Services available, secure, and operating reliably.
14.2. We may temporarily suspend some or all of the GiveWheel Services where reasonably necessary without liability, including for:
- planned maintenance;
- emergency maintenance;
- security incidents;
- fraud prevention;
- legal or regulatory requirements; or
- improvements to the Platform.
14.3. We are not responsible for losses arising from temporary interruptions that are reasonably necessary to operate, maintain or protect the Platform.
15. Disclaimer
15.1. GiveWheel provides a technology platform to facilitate charitable fundraising.
15.2. Except as expressly stated in these Terms, the Platform is provided on an "as is" and "as available" basis.
15.3. We do not guarantee:
- uninterrupted availability;
- compatibility with every device;
- that fundraising targets will be achieved;
- that every Beneficiary Organisation or Fundraiser will continue to participate;
- that third-party services will remain continuously available; or
- the accuracy, completeness, legality or suitability of information, content or fundraising activity provided by Fundraisers, Beneficiary Organisations or other users of the Platform.
15.4. Nothing in these Terms excludes any rights that cannot legally be excluded.
16. Force Majeure
16.1. Neither party will be responsible for delays or failures caused by events beyond its reasonable control.
16.2. These may include natural disasters, acts of government, industrial disputes, telecommunications failures, cyber attacks, power failures or failures of third-party service providers.
17. Liability
17.1. Nothing in these Terms limits or excludes liability for any liability that cannot legally be excluded, including liability for:
- fraud or fraudulent misrepresentation;
- death or personal injury caused by negligence; or
- any other liability that cannot legally be excluded.
17.2. Subject to the above, GiveWheel shall not be liable for:
- indirect or consequential losses;
- loss of profits, revenue, goodwill or opportunity;
- loss arising from third-party payment providers;
- delays caused by banks or financial institutions;
- interruptions caused by telecommunications failures or internet outages; and
- losses arising from events beyond our reasonable control.
17.3. Where permitted by law, our total aggregate liability arising from your use of the Platform shall not exceed GBP 100.
17.4. Nothing in this section affects your statutory rights.
18. Indemnity
18.1. If you are acting as a Fundraiser, Event Organiser, Competition Host, Auction Host, or Company, you will be responsible for losses, liabilities, and reasonable costs incurred by GiveWheel, including in respect of any claim brought by a third party, as a direct result of:
- your fraudulent or unlawful use of the Platform;
- your material breach of these Terms or any applicable Additional Terms;
- content supplied by you infringing another person's rights; or
- your organisation or control of a Ticketed Event, Auction, Competition, or other fundraising activity.
18.2. This section does not require you to compensate GiveWheel to the extent that the relevant loss was caused by GiveWheel's own breach, negligence or unlawful conduct.
19. Changes to the Platform
19.1. We continually improve GiveWheel.
19.2. From time to time, we may:
- introduce new features;
- modify existing functionality;
- discontinue services;
- change technical requirements.
19.3. Where reasonably practicable, we will endeavour to minimise disruption.
20. Changes to These Terms
20.1. We may update these Terms from time to time.
20.2. Where changes are material, we will provide reasonable notice through the Platform or by email where appropriate.
20.3. It is your responsibility to review these Terms whenever you use the Platform.
20.4. Your continued use of the Platform after updated Terms take effect constitutes acceptance of those changes.
21. Privacy
21.1. Your use of GiveWheel is also governed by our:
- Privacy Policy; and
- Cookie Policy.
21.2. Please refer to those policies to understand how we collect, use and protect your personal information.
22. Complaints
22.1. GiveWheel will promptly respond to any complaints from Companies, Fundraisers, Beneficiary Organisations, or Donors regarding the GiveWheel Services.
22.2. GiveWheel will maintain records relating to complaints it receives.
22.3. For details on how to make a complaint, how we handle it, and how to escalate a complaint if you remain unhappy with our response, please refer to our Complaints Policy.
Governing Law
GiveWheel's Terms and Policies are governed by the laws of England and Wales.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable consumer protection laws provide otherwise.
These Terms constitute the entire agreement relating to your use of the Platform.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A delay or failure by either party to enforce any provision of these Terms does not waive the right to enforce it later.
