API Terms

2. Permitted Use

2.1. Subject to these API Terms and the permissions GiveWheel has approved, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the API Services for the integration or business purpose described in your API access request.

2.2. You must use the API Services and any data returned through them only for that approved purpose, comply with applicable laws, and respect the rights and permissions of users and organisations whose information you access.

2.3. You must not materially alter API data in a way that makes it inaccurate or misleading, or present it in a way that misrepresents GiveWheel, a user, a Beneficiary Organisation or a fundraising activity.

3. Restrictions

3.1. You must not use the API Services to access data or functionality without permission, bypass security or usage controls, interfere with or disrupt the API or Platform, or use the API Services unlawfully.

3.2. Unless GiveWheel gives you prior written permission, you must not use API access, API data, credentials or non-public API materials to develop, operate or support a product or service that substantially replicates or substitutes for functionality offered by GiveWheel. GiveWheel may grant permission on terms agreed in writing.

3.3. This restriction does not prevent you from independently developing or operating a product or service without using GiveWheel API access, API data, credentials or non-public API materials. It also does not prevent an integration or complementary service that uses the API for a purpose approved by GiveWheel.

3.4. You must not reverse engineer, decompile or attempt to discover source code or underlying components of the API Services, except to the extent applicable law does not permit this restriction.

4. Data and Security

4.1. You must handle personal data obtained through the API Services in accordance with applicable data protection and privacy laws, use it only as needed for your approved purpose, and apply appropriate technical and organisational security measures.

4.2. You must not disclose API data, including personal data, to anyone who is not authorised to receive it. You must promptly notify GiveWheel of any actual or suspected unauthorised access to, loss of, or disclosure of API credentials or data.

4.3. A separate data processing agreement or other written terms may be required before you process personal data on GiveWheel's behalf.

5. Ownership and Branding

5.1. GiveWheel and its licensors retain all rights in the API Services, including the API, documentation and related materials. These API Terms do not transfer ownership or grant rights except for the limited permission expressly set out above.

5.2. You must not use GiveWheel's name, logo or other branding, or imply that GiveWheel endorses or sponsors your application, unless we have given you prior written permission.

6. Changes, Limits, Fees and Availability

6.1. We may change, update, limit or discontinue the API Services or any endpoint. We will give notice of material changes where reasonably practicable.

6.2. We may set or change reasonable limits on the number, frequency or volume of API requests, including to protect the security, capacity or reliable operation of the API Services. You must comply with any limits we notify you of.

6.3. We may introduce or change charges for API access or use by giving reasonable prior notice. Any new or changed charges will apply only from the date stated in that notice and will not apply retrospectively. If you do not accept them, you may stop using the API Services before that date. Any separate written agreement governing fees will take precedence over this clause.

6.4. The API Services may be unavailable from time to time. The availability and disclaimer provisions in the Terms of Service also apply to the API Services.

7. Suspension and Termination

7.1. You may stop using the API Services at any time. GiveWheel may suspend, restrict or revoke your access where we reasonably consider it necessary to address a breach, protect users, data or the Platform, manage a security or operational risk, or comply with law. A change to your API access does not itself amend or waive these API Terms or release you from obligations that have accrued under them.

7.2. When your API access ends, you must stop using your credentials and API Services. You must delete API data that you are no longer authorised or legally required to retain, subject to applicable law and any separate written agreement.

7.3. Ending your API access does not affect any rights or obligations that accrued before it ended, or any obligations relating to API data you obtained or retained through the API Services. Any provision of these API Terms that by its nature is intended to continue after access ends will continue to apply. The Terms of Service continue to apply to your other use of GiveWheel.

8. Liability

8.1. The disclaimer and liability provisions in the Terms of Service apply to your use of the API Services. Nothing in these API Terms excludes or limits liability that cannot lawfully be excluded or limited.
